Terms of Service

These Terms of Service ("Terms") govern your access to and use of Orbit Scorecard, operated by Orbit Metrics, Inc. ("Orbit Metrics," "we," "us"). By accessing or using the Service, you agree to be bound by these Terms.
1. Eligibility
You must be at least 18 years old and have the authority to enter into these Terms on behalf of yourself or your organization. By using the Service, you represent that you meet these requirements.
2. Your Account
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at team@orbitscorecard.com if you suspect unauthorized access. We are not liable for losses caused by unauthorized use of your account.
3. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to gain unauthorized access to any part of the Service or its infrastructure
- Reverse engineer, decompile, or disassemble any part of the Service
- Use the Service to transmit malware, spam, or harmful content
- Resell or sublicense access to the Service without written permission
- Misrepresent your identity or affiliation
4. Integrations and Third-Party Data
You authorize Orbit Metrics to access data from the third-party services you connect (e.g., Stripe, HubSpot). You represent that you have the right to grant this access and that doing so does not violate any third-party terms of service. You are solely responsible for the accuracy and legality of the data you connect.
5. Payment and Billing
Paid plans are billed monthly. Your subscription begins on the date you provide payment information. You authorize us to charge your payment method on a recurring monthly basis. Prices may change with 30 days notice. Refunds are not provided for partial months. You may cancel at any time; cancellation takes effect at the end of the current billing period.
6. Free Trial
We may offer a free trial. At the end of the trial, you must provide payment information to continue using the Service. We reserve the right to modify or discontinue free trials at any time.
7. Intellectual Property
The Service and all its components — including software, design, trademarks, and content created by Orbit Metrics — are owned by Orbit Metrics and protected by applicable intellectual property laws. These Terms do not grant you any ownership interest in the Service. Your data remains yours.
8. Your Data
You retain all rights to the data you bring into the Service. By using the Service, you grant Orbit Metrics a limited, non-exclusive license to process your data solely to provide the Service to you. We will not use your data for any other purpose without your consent.
9. Confidentiality
Each party agrees to keep the other's confidential information confidential and not to disclose it to third parties, using the same care used to protect its own confidential information (but no less than reasonable care).
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, ORBIT METRICS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DATA WILL NOT BE LOST.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORBIT METRICS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR (B) $100.
12. Indemnification
You agree to indemnify, defend, and hold harmless Orbit Metrics and its affiliates from any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
13. Termination
We may suspend or terminate your account for material breach of these Terms, non-payment, or conduct that harms other users or the integrity of the Service, with notice where practicable. You may terminate your account at any time. Upon termination, your right to use the Service ceases immediately. Sections 7–12 survive termination.
14. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes shall be resolved exclusively in the state or federal courts located in Delaware. You waive any objection to jurisdiction or venue in those courts.
15. Changes to These Terms
We may update these Terms at any time. We will provide at least 14 days notice of material changes via email or in-app notification. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
